The agreement between PermanentChalk Digital and the clients we work with.
Last updated: September 30, 2026
1. Acceptance of These Terms
These Terms of Service govern your use of this website and the services provided by PermanentChalk Digital. By accessing this website, submitting an inquiry, or engaging our services, you agree to be bound by these terms.
If you do not agree with any part of these terms, please do not use this website or our services.
2. Our Services
PermanentChalk Digital provides digital services that may include website development, CRM customization, funnel building and automation, digital marketing, project management, and technical training.
The specific deliverables, timeline, and fees for any engagement are defined in the proposal, quotation, or statement of work issued to you and accepted by you in writing.
3. Quotes and Proposals
Quotations are valid for 30 days from the date of issue unless stated otherwise. Prices are based on the scope described in the proposal.
Changes to scope after acceptance may require a revised quotation. Additional work outside the agreed scope will be estimated and approved before it is carried out.
4. Client Responsibilities
Timely delivery depends on both parties. You agree to provide accurate information, required content and access, and feedback within agreed timeframes.
You are responsible for ensuring that any content, data, or material you supply is lawful and does not infringe the rights of any third party, and for maintaining the security of your own accounts and credentials.
5. Payment Terms
Project engagements are typically invoiced with a deposit before work begins, with the balance billed at agreed milestones or on completion. Monthly subscription plans are billed in advance for each month of service.
Invoices are payable within the period stated on the invoice. Late or unpaid amounts may result in suspension of work or services. Fees are exclusive of applicable taxes unless stated otherwise.
6. Revisions and Acceptance
Each engagement includes the revision rounds specified in the proposal. Requests beyond those rounds, or changes after written approval, are treated as additional scope.
Deliverables are considered accepted when you confirm approval in writing or when they are published or launched with your agreement.
7. Intellectual Property
Upon full payment, you own the final deliverables created specifically for your engagement, including your website content, design files, and configured workflows, together with any accounts set up in your name.
PermanentChalk Digital retains ownership of its pre-existing tools, templates, frameworks, internal methods, and know-how, which may be used to deliver your project. Third-party platforms, plugins, and licensed components remain subject to their own licence terms.
Unless you ask us in writing not to, we may reference the work we performed for you in our portfolio, case studies, and proposals.
8. Third-Party Platforms
Our services often rely on third-party platforms such as hosting providers, CRM systems, marketing tools, and automation services. Those platforms are governed by their own terms, and their pricing, features, and availability may change.
We are not responsible for outages, policy changes, or loss caused by third-party platforms, though we will always help you resolve issues that affect your systems.
9. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information shared during the engagement, and to use it only for the purposes of the project.
This obligation continues after the engagement ends. It does not apply to information that is public, independently developed, or required to be disclosed by law.
10. Warranties and Limitation of Liability
Our services are provided with reasonable professional skill and care. We do not guarantee specific commercial results, such as particular search rankings, traffic volumes, or revenue outcomes, as these depend on factors outside our control.
To the maximum extent permitted by law, our total liability arising out of or relating to an engagement is limited to the fees paid to us for the services giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages.
11. Term and Termination
Project engagements conclude on acceptance of the deliverables. Monthly subscription plans continue month to month and may be cancelled by either party with 30 days written notice.
Either party may terminate an engagement for material breach that is not remedied within 14 days of written notice. Fees for work completed up to the date of termination remain payable.
12. Governing Law
These terms are governed by the laws of the Republic of the Philippines. Any dispute that cannot be resolved through good-faith discussion will be subject to the exclusive jurisdiction of the courts of Taguig City, Philippines.
13. Changes to These Terms
We may update these Terms of Service from time to time. The current version will always be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
